Minutes of Meeting

October 24, 2001

 

A regular meeting of the Connecticut Law Revision Commission Business and Professional Entity Forms Study Committee was held in Room 509A in the State Capitol Building in Hartford on October 24, 2001 at 3:00 p.m. Members present were: Representative James W. Abrams; Tonya Allen; Bud Buckner; David R. Chipman; Robert Dahn; Robert Early; Christopher M. Haddad; Martin Hellman; Susan D. Giacalone; Jo A. Roberts; Louis B. Schatz; Richard S. Smith, Jr.; and Diane Steir. Also present was Richard Taff of the Legislative Commissioners Office.

Ms Roberts opened the meeting.

The members discussed the research prepared by Ms Roberts and distributed to committee members.

The discussion included consideration of such issues as: what the public policy should be as to having more professionals included in the definition of "professional services"; whether having additional professionals creates a harm to the public; whether the Professional Corporation Act should be repealed; and, generally, what the present policy should be concerning professionals incorporating.

The members agreed that Ms Roberts would prepare a redraft of appropriate sections of the Professional Corporation Act and chapter 613, Limited Liability Companies, to reflect the following:

  1. The definition of professional services in section 33-182a will be revised to list the professionals subject to the chapter. The listed professionals will include those originally listed in the section and medical professionals.

  2. Specify that if other sections of the general statutes permit any of the listed professionals to incorporate, they may do so if they meet the requirements of the other statutes.

  3. Specify that all others who must be licensed or otherwise authorized to render their services may form corporations under chapters 601 and 602 of the general statutes.

  4. Provide that the section does not affect any PC’s formed before passage of the act.

Ms Roberts will distribute a draft to committee members for review before the next meeting.

There being no further business, the meeting was adjourned. The next meeting date is set for November 15, 2001 at 3:00 p.m. in Room 509A in the State Capitol Building in Hartford.
